After months of negotiations TMR’s Board of Directors came to a definite agreement with the Polish company WPKiW S.A., the owner of Silesian Amusement Park (Śląskie Wesołe Miasteczko) near the Polish town of Chorzów, on strategic investment by TMR into the project of the modernization of the park and on April 14, 2015 signed a binding contract with the Board of Directors of WPKiW S.A., which belongs under the Silesian regional council. TMR is entering into a new special purpose vehicle company (SPV) that will be the owner and operator of the park. TMR is acquiring a 75% interest in the SPV for the total consideration of PLN 30 mil. and the management control, as well. The selling company WPKiW S.A. will hold the remaining 25% interest in the SPV. “Several generations of the Polish grew up in this largest and oldest Polish amusement park with a long history. The park is located in the heart of a green oasis that is three times larger than Central Park in New York. The size of Silesian Amusement Park is comparable to medium-size theme parks in Western Europe. Our company is the top player in the tourist industry and has years of experience with operating of mountain resorts and an aquapark. At the same time it has experience with revitalization of original historical Tatra resorts, as well as with acquisitions and their expansion, such as Aquapark Tatralandia. I believe that it will be TMR to bring lost shine and former glory back to Silesian Amusement Park, and also thanks to stable access to capital the amusement park will turn to a modern resort that will meet expectations of the Poles. I am certain that the entry of TMR into this project will revive tourism of this region and start a new chapter of theme parks in Central Europe”, Bohuš Hlavatý, Chairman of the Board of Directors and CEO of TMR, commented on the acquisition. TMR is committing to invest PLN 120 mil. (EUR 30 mil.) into the project of modernization of the amusement park during next five years. Following a successful completion of the investment plan after five years, TMR will be able to exercise a call option to purchase the remaining 25% interest from WPKiW S.A. TMR’s entry as a strategic investor into the Silesian Amusement Park project was subject to approval of the supervisory board of WPKiW S.A., the regional board, relevant owners, and councilors of the regional council. The fiveyear investment plan of the amusement park’s modernization with the estimated budget of PLN 120 mil. after TMR’s entry includes inter alia establishment of a new theme and design, purchase of new attractions, revitalization of greenery, paths and the entrance hall, construction of F&B facilities, expansion of parking, and modernization of other infrastructure. In September of last year Polish management of the theme park started to look for an investor to modernize the park. TMR was chosen for its expertise in management of its mountain resorts in the High and Low Tatras and of Aquapark Tatralandia and for its rich experience with modernization and growth of these resorts. Silesian Amusement Park new the Polish town of Chorzów is the largest and oldest theme park in Poland. It was launched in 1959. It spreads on the area of 26 ha. It is located in the upper Silesian industrial district with its unique ‘green oasis’ of Silesian Park (Park Śląski). Airplanes hung on a 45-meter tower are the park’s most popular attraction. Since 1985 the ‘Russian wheel’ has been in operation, which gives a view of whole Silesia. In 2007 a 21- meter roller coaster ride was added. There are 50 attractions in the park. The park is visited on average by 200 thous. visitors per year.

TMR also owns 19% in Melida, a.s., which leases and operates the resort Špindlerův Mlýn in the Czech Republic. In Poland TMR owns the Szczyrk resort. TMR also owns and leases to third parties hotels Slovakia, Kosodrevina, Liptov and Ski&Fun Záhradky a Bungalovy. By the end of 2013 nearly EUR 190 mil. have been invested into development and modernization of TMR’s resorts. TMR shares are traded on three European stock exchanges – in Bratislava, Prague, and Warsaw.
